This Vendor Agreement ("Agreement") is entered into as of the date of signature below, by and between Trap Baby & Me, LLC, hereinafter referred to as "Organizer," and
 hereinafter referred to as "Vendor."
Event Description: The Organizer is hosting the Orlando Kite Festival on Saturday, April 12, 2025, at OCPS Academic Center for Excellence (701 W. Livingston St., Orlando, Florida 32805). In the event of severe weather conditions or other circumstances that render it unsafe to hold the festival on the scheduled date, a rain date is set for Sunday, April 13, 2025. Vendors will be notified promptly of any changes to the event schedule.
Vendor Participation: Vendor agrees to participate in the Kite Festival as a vendor, providing the following:
Cost of Vending:Â Vendor agrees to pay a vending fee to the Organizer as follows:
Returning Vendors: Vendors who participated in the previous event are eligible for the early registration fee, as communicated by the Organizer, if they register by February 12, 2025. After this date, returning vendors must pay the standard fee applicable to new vendors.
New Vendors: Vendors selected through the application process will pay the fee indicated on the initial application form.
Payment must be made in full no later than March 28th. Failure to pay by the due date may result in forfeiture of the vending space. For food vendors, the balance is to be remitted upon event closing.
Vendor Responsibilities:
Vendor shall occupy the designated vending space allocated by the Organizer.
(Excludes food trucks) Vendor shall provide their own 10' x 10' tent, weights or sandbags, tables, and chairs.
Vendor shall ensure that all equipment brought onto the premises is in safe and working condition.
Vendor shall be responsible for the setup and breakdown of their vending area within the designated times provided by the Organizer.
Vendor must be set up by 9 a.m. and remain until the end of the event at 3 p.m. Failure to comply with this policy may result in the following consequences:
The vendor forfeits their vending fee, with no refunds issued.
The vendor will not be eligible to participate in future events organized by the Organizer.
Marketing: Vendor agrees to allow the Organizer to use photographs, videos, or other media of their booth, products, or participation in the Orlando Kite Festival for promotional purposes, both during and after the event, without compensation to the Vendor.
Promotion: Vendor agrees to actively promote the event to their networks, including but not limited to sharing event details on social media, email newsletters, or other marketing platforms.
Smoking and Alcohol Policy: To ensure a family-friendly environment, vendors and their staff are prohibited from smoking, vaping, or consuming alcohol during the event, including within their designated vending space.
Hold Harmless: Vendor agrees to indemnify and hold harmless the Organizer, its officers, employees, and agents from and against any and all claims, demands, losses, damages, liabilities, and expenses (including attorney's fees) arising out of or in connection with Vendor's participation in the Orlando Kite Festival, including but not limited to personal injury, property damage, or violation of any laws or regulations.
Insurance: Vendor agrees to carry liability insurance covering its participation in the Orlando Kite Festival. Organizer may request proof of insurance from Vendor prior to the event.
Compliance with Laws: Vendor shall comply with all applicable federal, state, and local laws, regulations, and ordinances in the conduct of its vending activities at the Kite Festival.
Payment and Refund Policy: All fees paid by the Vendor to the Organizer are non-refundable. This includes situations where the Vendor chooses to cancel their participation, fails to attend, or violates the terms of this agreement.
Termination: Organizer reserves the right to terminate this Agreement at any time for any reason upon written notice to Vendor. In the event of termination, Organizer shall refund any vending fees paid by Vendor.
Miscellaneous:
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, whether oral or written.
This Agreement may not be modified except in writing signed by both parties.
This Agreement shall be governed by and construed in accordance with the laws of Florida.
Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in Orlando, Florida in accordance with the rules of the American Arbitration Association.
This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.
